Terms & Conditions
1. Property Access
During the scanning process, only authorised representatives of Muse3D Ltd. (“the Company”) shall be permitted on the premises unless otherwise approved in writing by the Company.
2. Property Condition
The Client shall ensure that the property is clean, fully accessible, and suitably prepared for scanning at the scheduled time of service. Should the property fail to meet these requirements, any delays, rescheduling, additional cleaning, or associated costs incurred shall be invoiced to the Client.
3. Delivery of Virtual Scans
Upon completion of the virtual scanning services, the Company shall provide the Client with access to the completed virtual tour via a URL link and embed code within twenty-four (24) hours. Due to file size, system, and platform limitations, these electronic delivery methods shall constitute the
sole method of delivery.
4. Tour Placement
All virtual reality tours created for tourism-related properties shall be featured, at no additional cost to the Client, on the Company’s tourism platform www.thevirtualtourist.co.nz.
5. Client Usage Rights
The Client is granted a perpetual, non-exclusive, non-transferable licence to use, display, and embed the virtual tours for lawful promotional, marketing, or informational purposes on any website or platform the Client owns or is authorised to operate, subject to the terms of this Agreement.
6. Ownership of Virtual Tours
All virtual tours, including all intellectual property rights therein, shall remain the sole property of Muse3D Ltd. Any assignment, sale, transfer, or sublicensing of such content to any third party is strictly prohibited without the Company’s prior written consent and may be subject to additional fees.
7. Payment Terms
All invoices issued by the Company shall be due and payable in full within seven (7) calendar days of the invoice date unless otherwise agreed in writing.
8. Late Payment
Any invoice not paid by the due date may incur a late payment charge of twenty percent (20%) of the outstanding balance.
9. Debt Recovery and Service Suspension
If payment remains outstanding after the due date, the Company may refer the debt to a collection agency. All recovery and collection costs shall be payable by the Client.
The Company reserves the right to suspend, restrict, or deactivate any virtual tours, hosting services, or client access until all outstanding balances are paid in full.
10. Fee Structure
The Company’s fees include labour, travel, and the first twelve (12) months of hosting. Any services requested outside the agreed scope of work may incur additional charges.
11. Matterport Licensing
The Company operates under a licensing agreement with Matterport, Inc. (“Matterport”), which provides the processing and hosting infrastructure for all 3D virtual tours. The Client agrees to comply with all applicable Matterport terms and conditions governing hosting, use, and data processing.
12. Annual Hosting – Hospitality & Tourism Sector
Virtual tours produced for hospitality and tourism clients are billed annually. The initial hosting fee shall be due within seven (7) days of tour completion. Hosting remains active for twelve (12) months from the creation date and will be invoiced for renewal at the agreed rate thereafter.
13. Cancellations
The Client may cancel hosting services by providing not less than one (1) calendar month’s written notice prior to the end of the initial twelve-month term.
Any booking cancelled on the scheduled service date shall be charged at the full contracted rate, except in cases of sudden bereavement or declared natural disaster.
14. Business Continuity
In the event Muse3D Ltd. ceases trading, the Company shall facilitate the transfer of hosting arrangements between the Client and Matterport, Inc. Thereafter, all hosting and service fees shall be managed and invoiced directly by Matterport.
Delivery of Photography and Media
All photographic images shall be delivered to the Client within twenty-four (24) hours of capture. The Client shall receive all high-resolution image files via a secure Dropbox download link.
The Company retains permanent archival copies of all images. If the Client requires access to archived images at any time in the future, a written request may be submitted to the Company.
Delivery of Matterport Virtual Tours
All Matterport virtual tours shall be delivered via email within twenty-four (24) hours of completion. Delivery shall be provided in the form of a web link and an embed code, which together constitute the sole method of access and delivery.
